AI Search Visibility Service Terms

These Service Terms apply to the AI Search Visibility System provided by Creative Data Engineers LLC, 1209 Mountain Road PL NE STE R, Albuquerque, NM 87110, USA ("CDE"). The client is the legal entity named in the applicable offer or order. The monitored brand may be a different legal entity from the client.

1. Scope and order of contract documents

These Service Terms apply only to business clients and only to services covered by an offer or order that refers to this version. The following order applies to each engagement:

  1. the individual terms in the signed offer or order,
  2. these Service Terms in the version named there,
  3. CDE's general Terms of Service.

If the documents conflict, the document listed first controls. The client's own terms apply only when CDE accepts them expressly in writing, including by email.

The client accepts an issued offer by signing and returning it within its validity period. A binding order is formed when the signed offer reaches CDE. A separate signature by CDE is not required unless the offer states otherwise. CDE confirms receipt in writing, including by email.

2. Services

CDE sets up the measurement scope stated in the offer and operates it for the agreed term. Depending on the offer, the services may include:

Brands, domains, markets, languages, questions, sources, page types, actions and review time are limited to the amounts stated in the offer. CDE quotes additional scope separately before work starts.

3. Client cooperation and authority

The client provides correct project information, names a responsible contact and gives approvals without unreasonable delay. The client arranges agreed access to Google Search Console or other approved systems through a person who has authority to grant that access.

The client confirms that it has the rights and authority needed for all data, brands, content, access and materials supplied to CDE. If the engagement concerns a third-party monitored brand, the client obtains all required permissions from that third party. The client must not send passwords or personal login details to CDE.

4. Measurement methodology and provider changes

Search engines and AI systems can give different answers to the same question. CDE may therefore run questions more than once within a measurement window, combine the results and mark identifiable outliers. The dashboard shows a method-based sample. It does not record every possible answer.

Model names, interfaces, regional access and answer formats can change. CDE may replace a provider or model family with a professionally comparable alternative when the previous access ends or becomes unreasonably unreliable. CDE records material changes in the dashboard or monthly report.

5. Fees and payment

The offer states the setup fee, recurring fee, taxes, billing start and payment schedule. Unless the offer states otherwise, amounts are net, invoices are due within 14 days and recurring services are billed at the start of each service month.

If payment is late, CDE may suspend ongoing measurement and dashboard access after prior notice. Fees for completed or firmly scheduled services remain due.

6. Term and termination

The offer states the start date, initial term and ordinary termination notice. If the offer has no term provision, the engagement begins when ordered and ends when the agreed services are complete. Either party may terminate for cause where applicable law permits.

If the offer provides for an initial term followed by monthly renewal, the engagement renews automatically for successive one-month periods unless it is terminated with the notice stated in the offer before the end of the initial term. After the initial term, the engagement may be terminated with the notice stated in the offer effective at the end of a renewal month.

At the end of the engagement, CDE provides the agreed exportable work product after all due invoices have been paid. Ongoing access, queries and updates end with the engagement.

7. Third-party providers and no outcome guarantee

The services depend on third parties, including search engines, AI providers, APIs, hosting services, public platforms and data sources. CDE is not responsible for their changes, blocks, outages, regional restrictions or removal of data. If a material disruption occurs, CDE adjusts the measurement where reasonably possible and records its effect.

CDE owes the agreed measurement, review, documentation and advisory work. CDE does not guarantee any mention, citation, recommendation, placement, indexation, reach, inquiry, transaction or business result from a search engine or AI system.

8. Public sources and data processing

CDE may collect and analyze publicly available content from the agreed sources, including videos and comments, web articles, public review pages and forums. CDE collects only content needed to identify themes, questions, objections or visible sentiment within the agreed scope. CDE may exclude a source that requires login, blocks access, uses a paywall or has an unclear basis for access.

CDE stores source references and necessary excerpts so the analysis can be checked. CDE reduces personal data where reasonably possible. CDE uses non-public client content only to perform the services. If the work requires a data processing agreement, the parties enter into a separate agreement.

9. Rights to work product

The client keeps its rights to its data, brands and content. After full payment, the client receives a non-exclusive, perpetual and worldwide right to use and modify reports, recommendations and Schema.org files created for the client for its own business purposes.

Methods, software, models, taxonomies, templates, libraries and dashboard components that existed before the engagement or can be used generally remain the property of CDE or the applicable rights holder. Third-party raw data and content remain subject to the rights of their sources.

10. Confidentiality

Each party keeps the other party's non-public business, technical and contractual information confidential and uses it only for the engagement. This duty does not apply to information that the receiving party can show was already public, lawfully received from a third party, independently developed or disclosed because the law requires it.

11. Case study and public references

A case study is required or permitted only when the offer includes that option. CDE submits factual project statements for review before publication. Use of the name, domain, logo or clearly identifiable images of a monitored brand requires separate permission from that brand. The client is responsible for obtaining and recording this permission.

If permission from the monitored brand is absent, CDE may publish only anonymized results that cannot reasonably be traced back to that brand, and only when the offer allows an anonymized case study.

12. Liability

To the extent permitted by law, CDE is not liable for indirect loss, lost profit, lost opportunity, loss of data or business interruption. CDE's total liability arising from the affected engagement is limited to the fees paid by the client to CDE during the 6 months before the event giving rise to the claim.

These limits do not apply to harm caused intentionally or through gross negligence, injury to life, body or health, or any other case in which applicable law does not permit a limit.

13. Changes to these Terms

The version named in the offer continues to govern that engagement. A later change to this website does not change an active engagement automatically. New terms apply to an existing engagement only when both parties agree in writing, including by email.

14. Governing law and venue

These Service Terms are governed by the laws of the State of New Mexico, USA, without regard to its conflict-of-laws rules. To the extent permitted by law, the state and federal courts located in Bernalillo County, New Mexico, have exclusive jurisdiction. Mandatory legal venues and rights remain unaffected.
